Terms of Service

By accessing or using Buildfel ("Service", "Platform"), operated by Buildfel ("Buildfel", "we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not access or use our Service.

These Terms apply to all visitors, users, and contractors who access the Service. Your continued use of the Service after any changes to these Terms constitutes your acceptance of the new Terms.

Buildfel is a CRM (Customer Relationship Management) platform built for concrete contractors. The Service includes tools for managing leads, creating estimates, scheduling jobs, tracking crew, generating invoices, and receiving automated call and SMS notifications.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

To use Buildfel, you must create an account. You agree to:

• Provide accurate, complete, and current information during registration
• Maintain the security of your account password
• Promptly notify us of any unauthorized use of your account
• Accept responsibility for all activities that occur under your account

You may not share your account credentials with others. Each subscription covers one business. If you manage multiple businesses, each requires a separate subscription.

We reserve the right to suspend or terminate accounts that violate these Terms.

Subscription Plans: Buildfel offers monthly and annual subscription plans. Prices are listed on our Pricing page and may change with 30 days' notice.

Free Trial: New accounts may be offered a trial period. A valid payment method is required to start a trial. You will not be charged until the trial ends unless you upgrade early.

Billing Cycle: Subscriptions renew automatically at the end of each billing period (monthly or annual). You authorize us to charge your payment method on file.

Cancellation: You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period. No refunds are issued for unused portions of a billing period.

Refunds: All payments are non-refundable except where required by law or at our sole discretion. If you believe you were charged in error, contact support@buildfel.com within 30 days.

Failed Payments: If a payment fails, we may suspend your account until payment is resolved. We will notify you by email before suspension.

Payments are processed securely through our payment provider. We do not store your credit card information.

You agree to use the Service only for lawful business purposes related to your contracting business. You may not:

• Use the Service to harass, spam, threaten, or send unsolicited communications to any person
• Upload or transmit malicious code, viruses, or harmful software
• Attempt to gain unauthorized access to any part of the Service or its infrastructure
• Use automated tools to scrape or extract data from the Service without written consent
• Resell, sublicense, or otherwise make the Service available to third parties
• Use the Service in any way that violates applicable federal, state, or local law
• Impersonate any person or entity or misrepresent your affiliation or identity
• Use the Service to conduct or facilitate any fraudulent, deceptive, or illegal activity

Telephony and Messaging Conduct: You are solely responsible for ensuring all calls and messages sent through Buildfel's telephony features comply with applicable law, including without limitation the Telephone Consumer Protection Act (TCPA), the CAN-SPAM Act, FCC regulations, and all state telemarketing and consumer protection laws. Specifically, you agree to:

• Obtain all legally required prior express written consent before sending automated calls or text messages to any recipient
• Maintain accurate Do-Not-Call lists and honor opt-out requests immediately
• Never use Buildfel's phone or SMS features to transmit spam, robocalls, or any messages prohibited by law
• Never use calling or messaging features to intimidate, harass, or threaten any person
• Comply with all applicable A2P 10DLC registration requirements for SMS campaigns
• Use Buildfel-provisioned phone numbers only for your registered business purposes

Buildfel reserves the right to immediately suspend or terminate your access and release any provisioned phone numbers without notice if we determine, in our sole discretion, that you have violated this Acceptable Use Policy. We cooperate fully with law enforcement investigations into misuse of our platform.

Ownership: You retain ownership of all data you input into Buildfel, including leads, estimates, job details, customer information, and files ("Your Data").

License to Buildfel: By using the Service, you grant Buildfel a limited, non-exclusive license to store, process, and display Your Data solely to provide and improve the Service.

Data Security: We implement industry-standard security measures to protect Your Data. However, no system is completely secure and we cannot guarantee absolute security.

Data Portability: You may export Your Data at any time from your account settings. Upon termination, we will retain Your Data for 30 days, after which it may be permanently deleted.

Backups: We perform regular backups of platform data, but we are not responsible for data loss. You are encouraged to maintain your own backups of critical information.

The Service, including its design, code, features, logos, and content created by Buildfel, is owned by Buildfel and protected by copyright, trademark, and other intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of the Service or its underlying software without our prior written consent.

Your feedback, suggestions, and ideas submitted to us may be used by Buildfel without compensation or attribution to you.

Buildfel integrates with third-party services to provide payment processing, authentication, data storage, telephony, AI voice, and email functionality. Your use of these services is subject to their respective terms and privacy policies.

We are not responsible for the availability, accuracy, or practices of any third-party services. Any issues with third-party integrations should be directed to the relevant provider.

Platform Provider Status: Buildfel operates as a technology platform and communications infrastructure provider. We provision telephone numbers and provide access to voice and SMS communication tools as a service to your business. Buildfel is not the initiator, sender, or originator of any calls or messages you make using the Service. You are the sole originator of all communications you send through Buildfel.

Your Responsibility as the Caller/Sender: By using Buildfel's telephony features, you acknowledge and agree that:

• You are the "Seller," "Telemarketer," "Caller," or "Sender" as those terms are defined under the TCPA, FCC regulations, and applicable state laws
• You are solely responsible for obtaining all required consents from call and message recipients before initiating any communication
• You are solely responsible for the content of all calls and messages initiated through the Service
• You are solely responsible for maintaining Do-Not-Call compliance and honoring all opt-out requests
• Buildfel has no control over, and assumes no responsibility for, the content of any communication you initiate

Number Provisioning: Phone numbers provisioned through Buildfel remain associated with your account and are subject to our Acceptable Use Policy. Numbers are provided by our carrier partners and are subject to their terms. We reserve the right to release or reassign numbers that are used in violation of applicable law or our policies.

No Guarantee of Delivery: Buildfel does not guarantee the delivery of any call or SMS message. Message delivery is subject to carrier availability, recipient device status, and regulatory filters including spam detection and A2P 10DLC screening.

Indemnification for Telephony Misuse: You agree to indemnify, defend, and hold harmless Buildfel and its officers, directors, employees, and agents from and against any claims, damages, fines, penalties, or costs (including reasonable attorneys' fees) arising out of or related to: (a) your use of telephony or messaging features; (b) your violation of the TCPA, CAN-SPAM, or any other applicable telecommunications law; (c) any claim that your calls or messages harassed, defrauded, or caused harm to any recipient; or (d) any regulatory investigation or enforcement action related to communications you initiated through the Service.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components. We do not guarantee that the Service will meet your specific business requirements.

Results shown in our marketing materials (e.g., revenue increases, lead conversion rates) are examples and not guarantees of your individual results.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BUILDFEL AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SERVICE.

IN NO EVENT SHALL BUILDFEL'S TOTAL LIABILITY TO YOU EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO BUILDFEL IN THE 12 MONTHS PRIOR TO THE EVENT GIVING RISE TO THE CLAIM, OR (B) $100.

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability, so some of the above limitations may not apply to you.

Either party may terminate these Terms at any time. You may terminate by cancelling your subscription and stopping use of the Service.

We may terminate or suspend your access immediately, without prior notice or liability, if you breach these Terms or if we determine, in our sole discretion, that continued access would harm us, other users, or third parties.

Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination (including ownership, disclaimers, and limitations of liability) will remain in effect.

These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law provisions.

Any disputes arising from these Terms or your use of the Service shall first be attempted to be resolved through informal negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration under the rules of the American Arbitration Association, conducted in English.

You waive any right to participate in class action lawsuits or class-wide arbitration.

We may update these Terms from time to time. When we make material changes, we will notify you by email or by posting a notice in the platform at least 14 days before the changes take effect.

Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the changes. If you do not agree to the new Terms, you must stop using the Service before the effective date.
